Welcome to S Arena. These Terms of Service (“Terms”) govern your access to and use of the S Arena platform, including our website, applications, and any related services (collectively, the “Platform”). By creating an account or using the Platform, you agree to be bound by these Terms.

Please read these Terms carefully. They include a binding arbitration agreement and class action waiver that affect your legal rights.

1. Privacy

Your privacy is important to us. Our collection and use of personal information in connection with the Platform is described in our Privacy Policy. By using S Arena, you also agree to the terms of our Privacy Policy.

2. Accounts

Eligibility

To create an account and play for cash on S Arena, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Reside in a jurisdiction where skill-based real-money gaming is legal
• Provide accurate, current, and complete information during registration
• Maintain only one (1) account per person

We may request government-issued identification at any time to verify your identity, age, and location. Failure to provide valid documentation may result in account suspension.

Account Security

You are responsible for safeguarding your password and for any activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account.

3. Use of Platform

Subject to your compliance with these Terms, S Arena grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. You agree not to:

• Use bots, scripts, or any automated means to interact with the Platform
• Reverse engineer, decompile, or attempt to extract source code from the Platform
• Use the Platform for any commercial purpose without our written consent
• Interfere with or disrupt the Platform’s servers, networks, or other users’ experience
• Impersonate another person or misrepresent your affiliation with any entity

4. User Content

S Arena lets you create your own games using our AI tools. By submitting any content — including game prompts, generated games, comments, or feedback — you grant S Arena a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, publish, and display that content as part of operating and improving the Platform.

You are solely responsible for the content you submit and represent that you have all necessary rights to grant the license above. S Arena reserves the right to remove any content that violates these Terms or is otherwise objectionable, in our sole discretion.

5. Games, Tournaments, and Prize Pools

S Arena offers skill-based games where players compete for cash prizes. Outcomes are determined entirely by player skill and not by chance. All games are designed to give every player an equal opportunity to win based on their performance.

When you place a bet to enter a game, your entry fee is added to a prize pool. At the end of the pool window, the prize pool is distributed to top-ranked players according to a published payout structure. Payouts are made directly to your S Arena wallet and are available for withdrawal subject to Section 6.

6. Fees, Funds, and Withdrawal

Deposits

You may deposit funds into your S Arena wallet via supported payment methods. All deposits are non-refundable except in the limited circumstances described below.

Withdrawals

You may withdraw winnings (but not unused deposits) from your wallet at any time, subject to identity verification, anti-fraud checks, and the minimum withdrawal threshold. Most withdrawals are processed within minutes; some may take up to 3 business days depending on your payout method.

Pending Winnings

Winnings from active prize pools are shown as “pending” in your wallet until the pool settles. Pending winnings are not yet withdrawable, but they are guaranteed to land in your withdrawable balance once the pool closes.

7. Anti-Money Laundering

S Arena is committed to preventing money laundering and financial crime. You agree to use the Platform in good faith and not to deliberately lose games, collude with other players, or use S Arena as a means to transfer funds. We may report suspicious activity to law enforcement and freeze accounts pending investigation.

8. Cheating Policy

The following activities are strictly prohibited and will result in account termination and forfeiture of any wallet balance:

• Using a VPN, proxy, or any tool to misrepresent your location
• Using bots, scripts, modified clients, or any tool that confers an unfair advantage
• Colluding with other players to manipulate prize pools
• Operating multiple accounts
• Exploiting bugs or security vulnerabilities for personal gain

9. Indemnification

You agree to indemnify, defend, and hold harmless S Arena, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. S ARENA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, S ARENA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID TO S ARENA IN THE 12 MONTHS PRECEDING THE CLAIM OR (b) $100 USD.

12. Term and Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Platform ceases immediately.

13. Dispute Resolution

Any dispute between you and S Arena will be resolved through binding individual arbitration rather than in court, except that you may bring claims in small claims court if eligible. You waive any right to participate in class actions.

Before initiating arbitration, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for a period of at least 60 days.

14. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you via the Platform or by email. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.
